These Consumer Terms of Sale apply when you buy products, subscriptions, digital services, digital content or online access from AskELIE Ltd through our website or online checkout.

Please read these terms carefully before placing an order. By placing an order, you agree to these terms.

In these terms, “we”, “us” and “our” means AskELIE Ltd. “You” means the consumer buying from us.

When these terms apply

These terms apply to purchases made by consumers through our website, online checkout or payment gateway.

If you are buying on behalf of a business, organisation, public body or other non-consumer customer, our Platform Terms of Service, Website Terms of Service and any agreed order form, proposal, statement of work or contract may also apply.

If there is a conflict between these Consumer Terms of Sale and our general Website Terms of Service, these Consumer Terms of Sale will apply to consumer purchases.

What you are buying

The product, service, subscription, digital content or online access you are buying will be described on the relevant website page, checkout page or order confirmation.

We try to describe our products and services clearly and accurately. However, our products may change over time as we improve, update or develop the platform.

Placing an order

Your order is an offer to buy the product or service shown at checkout.

A contract is formed when we accept your order and send you an order confirmation, payment confirmation or access confirmation.

We may refuse or cancel an order where:

• payment is not authorised
• there has been a pricing or product description error
• the product or service is unavailable
• we reasonably suspect misuse, fraud or breach of these terms
• we are legally or technically unable to provide the product or service

If we cancel an order after payment has been taken, we will refund you for the cancelled item unless we are legally entitled to withhold payment.

Prices and payment

Prices will be shown at checkout before you pay.

Unless stated otherwise, prices shown to consumers include any applicable VAT.

You are responsible for checking the order details, price and payment amount before completing the purchase.

Payments are processed through our bank or payment gateway provider. We do not intend to store your full card details on our own systems. Payment information is handled by the relevant payment provider in line with their own security controls and applicable payment industry requirements.

PCI Security Standards are designed to protect payment data throughout the payment lifecycle. Businesses taking card payments should make sure payment data is handled securely and in line with the correct merchant requirements.

Access to digital services

Where you buy access to a digital service, online platform, software feature, subscription or digital content, we will normally provide access as soon as reasonably possible after payment has been accepted.

Access may be provided by account login, email, direct access link or another method described at checkout.

You are responsible for keeping your login details secure and for making sure that any information you provide to us is accurate and up to date.

Immediate access and cancellation rights

For most online consumer purchases, you may have a legal right to cancel within 14 days. GOV.UK states that consumers must be told about their cancellation rights for distance sales, and that different rules apply to downloads and streaming services.

Where you buy digital content or immediate access to a digital service, you may lose your right to cancel once access has started, provided you have given your express consent for immediate access and acknowledged that your cancellation right may be lost.

At checkout, we may ask you to tick a box confirming that:

“I agree that access to the digital service will start immediately and understand that I may lose my 14-day cancellation right once access begins.”

If you do not agree to immediate access, we may delay access until the cancellation period has ended.

Cancelling before access starts

If you cancel within the cancellation period before digital access has started, we will refund the amount you paid for the cancelled product or service.

Refunds

Refunds will be made to the original payment method where possible.

We will usually process refunds within 14 days of confirming that a refund is due.

You may be entitled to a refund where:

• you cancel within the legal cancellation period before access starts
• we cannot provide the product or service you purchased
• the product or service is faulty, not as described or not supplied with reasonable care and skill
• we are required to provide a refund under consumer law

You will not normally be entitled to a refund where:

• you have received immediate access to digital content or a digital service after giving the required consent
• you have changed your mind after access has started and your cancellation right has been lost
• the issue is caused by your device, internet connection, browser settings or third-party systems outside our control
• your account has been suspended or terminated due to misuse or breach of these terms

Nothing in these terms affects your statutory consumer rights.

Subscriptions

If you buy a subscription, the subscription details, billing period and price will be shown at checkout.

Subscriptions may renew automatically unless cancelled before the renewal date.

You are responsible for cancelling before the next renewal date if you do not want the subscription to continue.

If your payment fails, we may suspend or cancel access until payment is made.

We may change subscription prices by giving reasonable notice before the change takes effect. If you do not agree to the new price, you can cancel before the new price applies.

Account use

You must use our services lawfully and responsibly.

You must not:

• share your account login details with others unless we have agreed this
• use the service for unlawful, harmful, abusive or fraudulent purposes
• attempt to interfere with, reverse engineer, overload or disrupt the service
• upload malicious code, harmful files or content that infringes the rights of others
• use the service in a way that breaches our acceptable use rules or any applicable law

We may suspend or terminate access if we reasonably believe your account is being misused or these terms have been breached.

AI and digital outputs

Some of our services may use artificial intelligence, automation, document processing or assisted content generation.

AI and automated outputs may help with drafting, processing, analysis or accessibility, but they should not be treated as a substitute for professional judgement.

You are responsible for checking any output before relying on it, sharing it or using it for an important decision.

Unless we expressly agree otherwise in writing, our services do not provide legal, financial, medical or other regulated professional advice.

Availability and changes

We aim to provide a reliable service, but we do not guarantee that the website, platform or digital service will always be available without interruption.

Access may be affected by maintenance, updates, technical issues, third-party suppliers, internet availability or events outside our reasonable control.

We may update, improve, replace or remove features from time to time.

Liability

• business losses, where you are buying as a consumer

• misuse of the service or failure to check outputs before relying on them

Changes to these terms

We may update these terms from time to time.

The version that applies to your purchase will be the version available when you place your order, unless a change is required by law or is clearly beneficial to you.

Governing law

These terms are governed by the laws of England and Wales.

If you live in another part of the UK, you may also have the right to bring proceedings in your local courts.
